The Board of Directors of NMG Administrators Botswana promotes principles of good governance. The Board comprises seven non-executive executive directors and they assume the responsibility for the overall direction, management and governance of the company. Thus, the Board is the custodian of corporate governance and sets the tone for management to manage the inter-relationships with clients, shareholders and other stakeholders in accordance with sound corporate governance principles. The Board determines the strategy and long-term direction of the company to achieve its objectives as a business enterprise and also monitors and evaluates the implementation of strategies, policies, management performance criteria and business plans. The Board has established four committees being, (i) Finance, Audit and Risk Committee, (ii) Human Resources and Remuneration Committee, (iii) Social & Ethics Committee, and (iv) the Benefits and Administration Committee. These committees have delegated responsibility to assist in specific matters and report to the Board. The Board and the committees meet at least once every quarter and on an adhoc basis when necessary.
The committee assists the Board in fulfilling its oversight responsibilities by reviewing the finance, audit and risk matters. These include the overall quality and integrity of financial reporting, the risks relating to financial reporting and disclosures, the appropriateness and effectiveness of internal financial controls specifically, and lastly the quality of the work done by the professionals responsible for financial reporting and internal control. The committee further oversees the effectiveness of the Company’s external and internal assurance functions and services that contribute to ensuring the integrity of the Company’s financial and integrated reporting.
The Committee provides strategic guidance in all human resources functions which include manpower planning, remuneration and reward management, performance management, employee relations, training and development, employee wellness, and health and safety related issues of employees and the Board, and any other human resources issues of the Company. It also ensures the establishment of an appropriate remuneration framework and adoption of remuneration policies, which aim to attract and retain top talent, agree with the Company’s long-term strategy, and drive sustainable performance.
The Committee has an independent role with accountability to both the Board and the shareholders. It ensures that the Company’s activities support its intent to be a responsible corporate citizen and to assist the Board in setting the tone for an ethical organisational culture by overseeing the Company’s conduct, approach, and manner in which the business is conducted with due regard to value creation in society.
The Committee provides an independent oversight on the operations of the Company and oversee the investments made by the Company including acquisition of the Company’s new clients. It further monitors the company’s service delivery to each client in order to ensure that the services provided are in line with the agreed service level standards.
