The Legal Specialist provides legal and governance support to the Company by ensuring regulatory compliance, managing legal and contractual matters, supporting Board and company secretarial processes, and identifying legal risks to enable sound business decision-making. Key deliverables include:
- Provide legal advice, research and risk-based guidance on corporate, commercial, regulatory and operational matters.
- Support the structuring, negotiation, review and execution of commercial transactions, contracts and strategic partnerships.
- Draft, review and manage contracts throughout their lifecycle, ensuring compliance with legal, regulatory and governance requirements.
- Monitor contractual obligations, maintain contract registers and support contract enforcement and dispute management.
- Ensure compliance with applicable laws, regulations, governance frameworks and internal policies.
- Monitor legislative and regulatory developments and advise the business on potential impacts and required actions.
- Support company secretarial functions, including Board and Committee administration, and governance documentation.
- Maintain statutory registers, corporate records, governance documentation and compliance-related legal records.
- Identify, assess, monitor and report on legal and regulatory risks, including recommending mitigation strategies.
- Assist with managing disputes, claims and litigation matters, including coordinating external legal counsel and preparing legal documentation.
- Drive continuous improvement through legal knowledge management, template development, process enhancement and legal technology initiatives.
- Prepare legal opinions, briefing notes, regulatory correspondence and governance communications while supporting legal awareness and training initiatives across the organisation.
Experience & Education Requirements:
- Bachelor’s degree in law (LLB).
- Admission as an Attorney of the High Court of Botswana.
- Minimum of five (5) years’ post-admission experience in corporate, commercial, regulatory, financial services, insurance or related legal practice.
- Experience in corporate governance and company secretarial functions will be an added advantage.
- Experience within the financial services, pensions, investment, asset management or insurance industry is desirable.
